Provision preparatory documents for the General Assembly
of 30 June 2021
Marie Brizard Wine & Spirits (Euronext: MBWS) announces the availability today of the preparatory documents for the Ordinary General Meeting of June 30, 2021, which will be held at 9:30 a.m. at the Company’s head office, as well as the composition of the officers of the said meeting.
It is recalled that in the context of the Coronavirus (Covid-19) epidemic, and in accordance with the movement restriction and assembly measures taken by the Government to fight against the spread of this virus, in particular Ordinance No. 2020- 321 of March 25, 2020, extended by decree n ° 2021-255 of March 9, 2021, the Ordinary General Meeting will be held, upon decision of the Board of Directors, behind closed doors without the physical presence of shareholders and persons entitled to attend.
The meeting notice comprising the agenda, the draft resolutions as well as the main methods of participation in the said meeting was published in BALO n ° 63 of May 26, 2021.
The notice of meeting will be published in the BALO of June 14, 2021.
The preparatory documents and information provided for in Article R. 225-73-1 of the Commercial Code are available as of today on the Company’s website (https://fr.mbws.com/investisseurs/assemblee- general / general-assembly-2021)
The documents provided for in Article R. 225-83 of the Commercial Code will be made available to shareholders as from the convening of the Meeting, in accordance with the applicable regulatory provisions:
- any registered shareholder may, until the fifth day inclusive before the Meeting, ask the company to send them these documents. For holders of bearer shares, the exercise of this right is subject to the provision of a certificate of participation in the bearer share accounts held by the authorized intermediary. In the current health context, the Company invites its shareholders for requests for the communication of documents to indicate an email address to which the communication can be made;
- any shareholder may take cognizance of it at the registered office of the Company within 15 days preceding the date of the Meeting.
Shareholders are invited to regularly consult the section dedicated to the General Meeting of the Company, which is regularly updated with all the information necessary to guarantee their rights.
The Board of Directors has, in accordance with article 8 of decree 2020-418 of April 10, 2020, decided on the composition of the Bureau of the Ordinary General Meeting, as follows:
President of the Assembly : Mr. Georges Graux, in his capacity as Chairman of the Board of Directors;
Scrutineers : COFEPP, represented by Mr. Jean-Pierre Cayard, shareholder of the Company, and Mr. Emmanuel Augustin, administrative and financial director of the Company, who have already accepted the duties of scrutineers;
Session secretary : Maître Jimi Vincent Bonaimé, counsel to the Company;
In addition, Mr. Andrew Highcock, in his capacity as Chief Executive Officer of the Company will also be present.
